Welcome to MedTalks (hereinafter referred to as “we”, “our”, or “us”). By accessing our website, purchasing our courses, interacting with our AI speaking agents, or otherwise utilizing our services, you agree to comply with and be bound by the following Terms of Service ("Terms").
1. Acceptance of Terms
If you do not agree strictly with any aspect of these Terms, please do not use our services. We reserve the right to modify these Terms at any time without prior notice, and your continued use signifies your acceptance of updated Terms.
2. Definitions
The following definitions apply to these Terms:
- "Services" refers to MedTalks courses, AI speaking agents, digital content, platform features, and related educational tools.
- "User", "you", or "your" refers to any individual accessing or using the MedTalks platform.
3. Intellectual Property Rights
All materials provided on or through our platform are the exclusive intellectual property of MedTalks. This includes, but is not limited to:
- Course curricula, study guides, worksheets, and presentations.
- Audio and video content, branding, logos, graphics, and UI design.
- AI interactive prompts, agent behaviors, and proprietary methodologies.
Prohibition on Redistribution: The unauthorized distribution, sharing, reproduction, or commercial exploitation of any MedTalks intellectual property is strictly prohibited.
Strict No-Recording Policy: The unauthorized recording of any live sessions, webinars, or AI speaking agent sessions is strictly banned to protect the privacy of all participants and our proprietary materials.
3. Limitation of Liability
Our goal is to comprehensively improve your spoken medical English capabilities. However, due to the myriad of factors associated with language acquisition and professional accreditation, you acknowledge that:
- No Guarantee of Exam Success: MedTalks provides academic assistance, but we do not guarantee passing scores for IELTS, OET, or any other board, language, or medical licensing examinations.
- No Guarantee of Employment: We do not offer job placement services, nor do we guarantee overseas employment or medical residencies resulting from the completion of our courses.
MedTalks shall not be liable for any indirect, incidental, special, punitive, or consequential damages arising from the use of our services, including but not limited to lost profits, loss of data, failed exam fees, or professional setbacks, regardless of whether we were advised of the possibility of such damages.
5. User Responsibilities & Account Termination
When participating in MedTalks live sessions or interacting with our platform, you agree to maintain professional decorum. Harassment of instructors, team members, or other students will result in immediate termination of access without refund.
Right to Terminate: We reserve the right to suspend or terminate accounts suspected of fraudulent activity, abuse, or violation of these Terms. This includes issues regarding payment disputes and chargebacks.
6. Payment Processing Disclaimer
All payments are processed securely by third-party payment providers (e.g., Stripe, IyziCo). MedTalks does not store full credit card information on our servers at any time.
7. Disclaimer for AI Outputs
MedTalks provides AI-driven interaction (such as Dr. Meddy and OET Speaking Agents). AI-generated responses are strictly for language acquisition and educational purposes only. They must never be interpreted as, or substituted for, professional medical advice, clinical diagnoses, legal advice, or formal professional guidance.
8. Service Adjustments & Force Majeure
We reserve the right to modify, suspend, or discontinue any feature, course, or aspect of the service at our sole discretion. AI platforms and software undergo regular maintenance; we aren't liable for incidental downtime.
Force Majeure: MedTalks shall not be liable for any failure or delay resulting from events beyond its reasonable control. This includes, but is not limited to, force majeure events, natural disasters, internet outages, cloud infrastructure failures, AI provider disruptions, or governmental actions and restrictions.
9. Miscellaneous Provisions
- Dispute Resolution: Prior to initiating any formal legal action, parties agree to attempt good-faith mediation to resolve any disputes. In the event mediation fails, disputes may proceed to binding arbitration or court proceedings.
- Entire Agreement: These Terms constitute the entire agreement between you and MedTalks regarding the use of our Services, superseding any prior agreements or understandings.
- Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
- Assignment: MedTalks may assign or transfer our rights and obligations under these Terms to a third party in the event of a merger, acquisition, or sale of assets.
10. Governing Law & Jurisdiction
These Terms and your use of our services shall be strictly governed by and construed in accordance with the laws of the Republic of Türkiye, without regard to its conflict of law principles.
Any disputes arising from or in connection with these Terms, or the services provided by MedTalks, shall be subject to the exclusive jurisdiction of the Courts and Execution Offices of Istanbul, Türkiye.
